5. Fees and Payment

Fees for consulting services are specified in individual engagement agreements. All fees are quoted in Thai Baht (฿) unless otherwise stated.

5.2 Payment Terms

• Invoice payment within 30 days of receipt
• Late payment may incur additional charges

5.3 Expenses

Client will reimburse reasonable expenses incurred in connection with services, including travel, accommodation, and materials, when pre-approved in writing.

6. Intellectual Property

6.1 Our Intellectual Property

All methodologies, frameworks, templates, and proprietary materials used in providing services remain our intellectual property. Clients receive a non-exclusive, non-transferable license to use deliverables for internal business purposes only.

Clients retain all rights to their proprietary information and data. We will not use client information beyond what is necessary to provide services.

6.3 Website Content

All content on our website, including text, graphics, logos, and software, is our property or licensed to us and protected by copyright and intellectual property laws.

7. Confidentiality

We maintain strict confidentiality regarding all client information and engagement details. Both parties agree to:

8. Disclaimers and Limitations

8.2 No Warranty

Services are provided on an "as is" basis. We disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

8.3 Limitation of Liability

To the fullest extent permitted by law, our total liability arising from any engagement shall not exceed the fees paid for that specific engagement. We shall not be liable for indirect, incidental, consequential, or punitive damages.

9. Termination

9.1 By Client

Clients may terminate an engagement with 14 days written notice. Client remains responsible for fees for work completed and expenses incurred through the termination date.

9.2 By vantai ze

We may terminate an engagement if:

• Client fails to make timely payments
• Client breaches material terms of the agreement
• Circumstances make continuation impractical or inadvisable

9.3 Effect of Termination

Upon termination, we will provide work product completed through the termination date. Confidentiality obligations and payment responsibilities survive termination.

10. Indemnification

Client agrees to indemnify and hold vantai ze harmless from claims, damages, and expenses arising from:

• Client's use of our services or deliverables
• Client's breach of these Terms
• Client's violation of applicable laws
• Inaccurate or incomplete information provided by client

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

11.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation. Either party may request a meeting to discuss resolution.

11.3 Mediation

If informal resolution is unsuccessful, parties agree to attempt mediation through a mutually agreed mediator before pursuing litigation.

12. General Provisions

12.1 Entire Agreement

These Terms, together with any engagement agreement, constitute the entire agreement between parties regarding the subject matter.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full effect.

12.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

12.4 Assignment

Clients may not assign their rights or obligations under these Terms without our written consent. We may assign our rights with notice to client.

12.5 Notice

Notices must be in writing and delivered via email or registered mail to the addresses specified in the engagement agreement.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new "Last Updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
